Chapter III: Running Body (art. 7-21)

  1. 7. ARTICLE.- The representation, running and administration of the Foundation José Miguel de Barandiarán will be exclusively entrusted to its Patronage. The Patronage shall be formed by a minimum of three members and a maximum of fifteen members.

  2. 8. ARTICLE.-The Patronage is formed as follows:
    • Mrs. Pilar Barandiarán, as permanent patroness.
    • 4 Representatives of Eusko Ikaskuntza-Sociedad de Estudios Vascos.
    • 1 Representative of Eusko Jaurlaritza-Basque Government.
    • 1 Representative of the Navarre Government.
    • 1 Representative of the Diputación Foral de Alava (Alava's Council).
    • 1 Representative of the Diputación Foral de Bizkaia (Biscay's Council).
    • 1 Representative of the Diputación Foral de Gipuzkoa (Gipuzkoa's Council).
    • 1 Representative of Ataun's Town Council.
  3. Up to 4 patrons appointed by the Patronage in accordance with their scientific or economic contributions to the Foundation or in accordance with their relationship with José Miguel de Barandiarán's work. Patrons representing public bodies and Eusko Ikaskuntza-Sociedad de Estudios Vascos (Basque Studies Society), will be appointed and dismissed by the appropriate bodies thereof. Patrons appointed by the Patronage will hold their posts for a period of 4 years, their appointment being renewed if required for another period lasting the same time.

  4. 9. ARTICLE.- With the aim to guarantee the uninterrupted working of the Patronage, the periodic reorganization of its members will be carried out by changing half of them every two years by the competent body, in accordance with Article 8, except for the permanent patron and the representatives of Eusko Ikaskuntza-Sociedad de Estudios Vascos and of public bodies.
  5. 10. ARTICLE.- In the exercise of its great powers of representation, running, provisions and administration, the Patronage will be empowered to carry out all types of legal actions and business without needing more specific requirements, nor authorisation or control from authorities or other people outside of it, except those considered as necessary or essential by law.
  6. 11. ARTICLE.- The Patronage will meet at least once a year, being mandatory at least a yearly ordinary meeting to address the general guidelines and to approve the programs and budget for the next academic term.
  7. 12. ARTICLE.- The Patronage's Chairman will be a member of the co-foundation Body Eusko Ikaskuntza-Sociedad de Estudios Vascos and will be appointed by the Patronage from among the four members of the Patronage representing Eusko Ikaskuntza-Sociedad de Estudios Vascos. His mandate will last 4 years, being reelected only once.
  8. 13. ARTICLE.- The Chairman will be in charge of convening the Patronage, acting upon his own initiative or at the request of a third part of its members. He will also have the responsibility to direct its deliberations and carry out its decisions.
  9. 14. ARTICLE.- The Patronage's Secretary will be appointed by the Patronage itself among the patrons representing Eusko Ikaskuntza-Sociedad de Estudios Vascos and will be charged with the management of the Foundation's administration work, he will also take care of the documents and will draw up the minutes of the meetings, which will be registered in the Minute Book, once approved and with the Chairman's good faith. He can be reelected only once.
  10. 15. ARTICLE.- The Patronage may, if it is considered convenient, appoint among its members, a Vice-chairman and a Treasurer, so that they carry out the duties characteristic of their posts, that is to say: The Vice-chairman will substitute the Chairman in case of absence or illness. The Treasurer will collect and take care of the funds belonging to the Foundation and will be responsible for the presentation and signing of the Income and Expenditure Balance Sheet.
  11. 16. ARTICLE.-The end of the Patronate's membership will take place in the following cases:
    1. a) Death, disability, incompetence or incompatibility.
    2. b) Final judgement which covers the responsibility foreseen in Art. 16 of Decree 2930/21.07.72 Foundations Acts.
    3. c) Leaving the post to which they were appointed.
    4. d) End of their term, if they were appointed for a specific period of time.
    5. e) Resignation, which will only be effective after the acceptance of the substitute.
    6. f) Agreement to remove or dismissal, based on a serious non-fulfilment of the member's duties in respect to the Foundation or for reasons of immoral or ignominious behaviour and approved by the Patronage or Protectorate in accordance with the proceedings.
  12. 17. ARTICLE.- The Patronage will be considered as duly constituted when half plus one of the members attend the first meeting and in a second meeting when all those present attend at least one hour later. Agreements will be approved by a majority vote. The Chairman will have the casting vote in case of a draw.
  13. 18. ARTICLE.- The Patronage shall appoint one or several representatives or proxies of the Foundation. Accounts approval or actions going beyond the common management of the Foundation shall not be delegated. Delegation of powers will be registered in the Basque Country Private Cultural Foundations Register.
  14. 19. ARTICLE.- The Patronage shall create, with part of its members or others outside it, those specialised Committees as it considers appropriate. The Chairman and Secretary of the Patronage will act as Chairman and Secretary of those Committees, unless they delegate other members for that purpose.
  15. 20. ARTICLE.- The posts of Patron are non remunerated and honorific, although all expenses may be reimbursed.
  16. 21. ARTICLE.- The Chairman or a Member appointed by the Patronage to that end, will act as representatives of the Foundation.
